If there is one section in the Companies Act, 2013 that most companies wish did not exist, that is Section 188 – Related Party Transactions! The new law wants minority shareholders to have final approval on related party transactions. But companies say the additional reporting and approval requirements will drown shareholders in reams of transaction details and prevent them from spotting the most important transactions.
